Target
Samsung Bioepis, founded in 2012 by Samsung Biologics and Biogen, develops and commercializes biosimilars; at signing it had launched five biosimilars globally (three autoimmune, two oncology), one approved awaiting launch and four in Phase 3.
Deal rationale
On 28 January 2022 Samsung Biologics disclosed it would buy Biogen's entire stake (10,341,852 shares, 50% minus one share) for USD 2.3 billion (about KRW 2.7708 trillion), a deal reports said followed Biogen's request to sell. Samsung said full ownership would raise decision-making autonomy and agility, letting Bioepis pursue new pipelines and open innovation independently and internalize the development, clinical, regulatory and commercial capabilities built with Biogen. The deal takes effect on a first USD 1 billion payment with the balance over two years, plus a separate USD 50 million earn-out if conditions are met; a KRW 3 trillion rights offering was approved to fund it.
